Modelling & Brand Ambassador

(Konastone Brand Ambassador Agreement
1. Parties
This agreement (“Agreement”) is made on 26th July 2025 between Konastone Clothing Limited, and the Applicant under this google form, a freelance brand ambassador.
2. Scope of Engagement
• Ambassador is engaged solely as an independent contractor, not an employee, agent, or partner.
• Services include promotional activities as specified in the attached brief (e.g., social media posts, photoshoots, event appearances).
• Ambassador retains full control over how services are delivered.
3. Exclusive Provision of Clothing
• The only support provided by Konastone is brand clothing and accessories necessary for promotional purposes.
• Ambassador agrees that no other form of compensation, including travel, accommodation, or legal costs, will be provided unless explicitly agreed in writing.
4. Expenses and Costs
• Ambassador is solely responsible for all expenses incurred during the engagement, including travel, accommodation, insurance, and legal fees—even in the event of court or arbitration.
• Konastone will not reimburse any such expenses.
5. Independent Contractor Status
• Ambassador acknowledges they are a freelance, self employed individual, responsible for their own taxes, insurance, and statutory obligations.
• No employment rights or benefits are provided under this Agreement.
6. Deliverables, Performance & Approval
• Ambassador shall deliver all materials (e.g. posts, images) in line with the Company’s brand guidelines and deadlines.
• All content must be pre approved by Konastone before public release.
7. Intellectual Property
• Ambassador grants Konastone a non-exclusive, royalty-free license to use content created under this Agreement, worldwide, for marketing and promotional purposes.
• Ambassador retains original copyright unless otherwise agreed in writing.
8. Confidentiality
• Ambassador shall keep confidential all non-public information provided by Konastone.
• This obligation survives termination of the Agreement.
9. Term and Termination
• Term begins on 26th July 2025 and terminates on 26th July 2026, unless earlier terminated.
• Either party may terminate with 30 days written notice or immediately for material breach (e.g., failure to deliver content).
• Obligations relating to confidentiality, IP rights, and indemnity survive termination.
10. Indemnification
• Ambassador agrees to indemnify and hold Konastone harmless from any claims, liabilities, costs or damages arising out of their performance or breach of this Agreement.
11. Force Majeure
• Neither party is liable for failure to perform due to events beyond control (e.g., natural disasters).
12. Amendment Clause
• Any changes to this Agreement must be in writing and signed by both parties.
13. Severability
• If any clause is invalid or unenforceable, the remaining clauses remain in full force.
14. Choice of Law / Dispute Resolution
• This Agreement shall be governed by the laws of Uganda.
• All disputes will be resolved via [arbitration/mediation] in Uganda, or courts in Uganda.
15. Acknowledgment
By signing below, Ambassador affirms understanding that:
• They work as an independent contractor with no employment benefits.
• Konastone only provides clothing—not any financial support.
• They are fully responsible for all costs, including legal fees, in any dispute.)
